Terms of Service
Version 1.7.1, effective 17 October 2026
Back to Home
These Terms of Service ("Terms") govern your access to and use of the Habulo platform ("we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Habulo is a B2B SaaS platform that lets businesses create, manage, and distribute digital loyalty card programs. The Service is offered only to businesses and professionals acting for purposes relating to their trade, business, craft or profession. By creating an account you confirm that you are not acting as a consumer. The Service includes a web dashboard for configuring loyalty programs, generating QR codes and printable posters, issuing digital wallet passes for Apple Wallet and Google Wallet, recording stamps and rewards, viewing analytics, asking questions about your own loyalty data through an AI assistant, managing team members, and sending notifications to customers (including, on Apple Wallet, location-based notifications when a customer is near the business location you configure).
2. Account Registration
To use the Service you must register and provide accurate, complete information. You are responsible for keeping your credentials confidential and for everything that happens under your account. Notify us immediately of any unauthorized use.
You must be at least 18 years old and authorized to bind the business you represent to these Terms.
3. Subscription Plans and Billing
The Service is offered under subscription plans with different feature sets and limits. Pricing is shown on our website at the time of purchase. Billing is handled by Stripe.
- Subscriptions are billed on a recurring basis (monthly or annual, as selected).
- You may upgrade at any time. Plan downgrades may not be available through self-service billing.
- Fees are non-refundable for partial billing periods except where required by law.
- We may change pricing with at least 30 days' prior notice; the new price takes effect at your next renewal.
- Because the Service is supplied only to businesses, the 14-day right of withdrawal that applies to consumer distance contracts does not apply to it.
Taxes. All fees are exclusive of VAT and any other tax or duty, which we add where required by law and which are your responsibility. If you are a business registered for VAT in another EU member state, give us a valid VAT identification number so that the reverse charge can be applied; without one we will charge Greek VAT.
Late payment and suspension. If a payment fails, Stripe may retry the charge. If an amount remains unpaid, we will tell you in writing, and if it is still unpaid 14 days after that notice we may suspend your access to the dashboard until the balance is settled. Overdue amounts carry statutory late payment interest for commercial transactions under Greek law implementing Directive 2011/7/EU. Suspension does not cancel your subscription and does not remove fees already due. During a suspension, wallet passes already issued to your customers continue to exist, but stamps cannot be recorded and notifications cannot be sent.
4. Free Trials and Beta Features
We may offer a free trial of a paid plan. The length of the trial and what it includes are shown when you start it, and a trial may not include every feature of the paid plan.
No payment card is needed to start a trial. Unless you cancel before the trial ends, your subscription moves automatically to our entry paid plan at the price shown on our website, and billing starts. If no payment method is on file at that point, access to the dashboard is paused until you add one. You can cancel at any time during the trial from the dashboard, and then you pay nothing.
We may also make pre-release or experimental functionality available, identified as beta, preview or early access. Beta functionality is provided for evaluation only. It is not part of the Service for the purposes of section 9, it may be changed or withdrawn at any time without notice, and it is excluded from any warranty, support commitment or availability expectation. Do not rely on a beta feature for anything you cannot afford to lose.
5. Your Obligations
As a user of the Service you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws, including consumer-protection and data-protection law.
- Ensure your loyalty programs are accurate and not misleading.
- Provide your end customers with a privacy notice and obtain any legally required consents before collecting their data through the Service.
- Not use the Service to send spam, deceptive promotions, or unlawful content.
- Not reverse engineer, decompile, or attempt to access the source code of the Service, except as permitted by law.
- Not interfere with the integrity, security, or performance of the Service or attempt to bypass usage limits.
6. End Customer Data
You are the data controller for the personal data of your end customers that you collect through the Service. We act as your data processor and will process such data only on your documented instructions, as described in our Privacy Policy and these Terms.
The detailed terms of that processing are set out in our Data Processing Agreement, which is entered into under Article 28 of the GDPR and forms part of these Terms. Where it conflicts with these Terms on the subject of personal data processing, the Data Processing Agreement prevails.
Through the Service you have access to the personal data your customers provide (such as name, email address, phone number and date of birth) and to their loyalty activity. You may view, export and use that data outside the Service, in your own systems and for your own purposes, as their data controller. Any such use is your sole responsibility and must comply with the privacy notice you gave your customers, the consents you obtained and applicable data-protection law.
You are responsible for:
- Giving your customers an appropriate privacy notice.
- Determining the appropriate lawful basis for each purpose for which you use the Service, including loyalty analytics, customer segmentation and marketing campaigns.
- Obtaining any consents required for the data fields you choose to collect and for any promotional communications you send through the Service, and honoring withdrawals of that consent and objections to direct marketing.
- Using the audience, segmentation and campaign features only to reach customers who are eligible to receive the communication in question under applicable data-protection and electronic-communications law.
- Responding to data-subject requests from your customers.
We will support you in meeting these obligations and will delete or return end-customer data as described in the Privacy Policy when your subscription ends.
7. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Habulo and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.
You retain ownership of the content you upload or create using the Service, including loyalty card designs, logos, and branding. You grant us a worldwide, royalty-free license to host, display, and distribute that content solely as needed to provide the Service to you and to issue passes to your customers' wallets.
Feedback. If you send us suggestions, feature requests or other feedback about the Service, we may use it without restriction and without any obligation or payment to you, including to develop and improve the Service. We will not identify you as its source.
Aggregated data. We may derive statistical and technical data from the operation of the Service that identifies neither you, nor your business, nor any individual, and use that aggregated and anonymised data for any business purpose, including capacity planning, product development and published industry benchmarks. We will not present it in a form that identifies you or any of your customers.
8. Third-Party Platforms and Integrations
The Service depends on platforms operated by third parties, in particular Apple Wallet and Google Wallet for issuing and updating passes, the Apple Push Notification service and Firebase Cloud Messaging for delivering notifications, and Stripe for payments. Your use of the Service is also subject to the rules those providers impose, including Apple's and Google's requirements for what a wallet pass may contain and display.
Those providers may change, restrict or withdraw their platforms, APIs and pass formats at any time, and it is they, not us, who decide whether a pass reaches a device and whether a notification is displayed on it. We are not responsible for their acts or omissions, for any interruption they cause, or for functionality becoming unavailable because a provider changed or withdrew it. Where such a change materially affects the Service we will tell you and, where reasonably possible, offer an alternative.
9. Availability and Support
We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or events outside our control. Support is available by email at info@habulo.com; response times may vary by plan.
10. Confidentiality
Each of us may receive information from the other that is not public and that a reasonable person would understand to be confidential, including your customer data, pricing and business plans, and our non-public technology, security arrangements and commercial terms.
The party receiving that information will keep it confidential, use it only to perform under these Terms, and disclose it only to personnel and subcontractors who need it and who are bound by equivalent obligations. These duties do not apply to information that is public through no breach of this section, was rightfully known before disclosure, is independently developed without use of the other party's information, or is rightfully obtained from a third party free of any duty of confidence.
Either of us may disclose confidential information where required by law or by a competent authority, giving the other advance notice where it is lawful to do so, so that protection can be sought. These obligations continue for three years after your subscription ends and, for personal data and trade secrets, for as long as the law protects them. Personal data is governed by the Privacy Policy and the Data Processing Agreement, which prevail over this section.
11. Limitation of Liability
To the maximum extent permitted by Greek and EU law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- We are not liable for indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Service.
- Our aggregate liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or gross negligence).
12. Indemnification
You agree to indemnify and hold Habulo harmless from any claims, damages, losses, and reasonable legal costs arising out of your use of the Service, your loyalty programs, your content, your violation of these Terms, or your violation of any third-party rights, including the privacy rights of your end customers.
13. Termination
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period and you keep access until then. You can also close your business account from Settings. Closing it ends your subscription at the end of the current billing period, and 90 days after that we permanently delete the account and all of the data in it. The same applies 90 days after a subscription ends without being renewed. We email you at least 14 days before the deletion, and until then you can download a copy of your data from Settings, subscribe again, or cancel the closure.
Either of us may terminate these Terms if the other commits a material breach and does not remedy it within 30 days of written notice describing the breach. We may terminate immediately, without that cure period, where the breach cannot be remedied, where allowing it to continue would expose us or your customers to legal risk, or where you have not paid after the process in section 3.
Where suspending your access is a proportionate response we may do that instead of terminating, and we will give you reasonable notice where practicable.
On termination your access to the Service ends, wallet passes issued under your programs stop receiving updates, and your data is handled as described in the Privacy Policy (deleted 90 days after the account ends). The sections listed in section 17 survive termination.
14. Force Majeure
Neither of us is liable for failing to perform, or for delay in performing, an obligation under these Terms to the extent it is caused by an event beyond that party's reasonable control. Such events include natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, strike or other labour dispute, act of government, and failure of power, internet, telecommunications, a hosting provider or a third-party platform.
The affected party will tell the other as soon as practicable, and will do what it reasonably can to limit the effect and resume performance. This section does not excuse an obligation to pay an amount already due. If such an event prevents performance for more than 30 consecutive days, either of us may terminate the affected subscription by written notice, and we will refund any fees you prepaid for the period after termination.
