Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Habulo platform ("we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Habulo is a B2B SaaS platform that lets businesses create, manage, and distribute digital loyalty card programs. The Service includes a web dashboard for configuring loyalty programs, generating QR codes and printable posters, issuing digital wallet passes for Apple Wallet and Google Wallet, recording stamps and rewards, viewing analytics, managing team members, and sending notifications to customers (including, on Apple Wallet, location-based notifications when a customer is near the business location you configure).
2. Account Registration
To use the Service you must register and provide accurate, complete information. You are responsible for keeping your credentials confidential and for everything that happens under your account. Notify us immediately of any unauthorized use.
You must be at least 18 years old and authorized to bind the business you represent to these Terms.
3. Subscription Plans and Billing
The Service is offered under subscription plans with different feature sets and limits. Pricing is shown on our website at the time of purchase. Billing is handled by Stripe.
- Subscriptions are billed on a recurring basis (monthly or annual, as selected).
- You may upgrade at any time. Plan downgrades may not be available through self-service billing.
- Fees are non-refundable for partial billing periods except where required by law.
- We may change pricing with at least 30 days' prior notice; the new price takes effect at your next renewal.
4. Your Obligations
As a user of the Service you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws, including consumer-protection and data-protection law.
- Ensure your loyalty programs are accurate and not misleading.
- Provide your end customers with a privacy notice and obtain any legally required consents before collecting their data through the Service.
- Not use the Service to send spam, deceptive promotions, or unlawful content.
- Not reverse engineer, decompile, or attempt to access the source code of the Service, except as permitted by law.
- Not interfere with the integrity, security, or performance of the Service or attempt to bypass usage limits.
5. End Customer Data
You are the data controller for the personal data of your end customers that you collect through the Service. We act as your data processor and will process such data only on your documented instructions, as described in our Privacy Policy and these Terms. You are responsible for:
- Giving your customers an appropriate privacy notice.
- Obtaining any consents required for the data fields you choose to collect.
- Responding to data-subject requests from your customers.
We will support you in meeting these obligations and will delete or return end-customer data as described in the Privacy Policy when your subscription ends.
6. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Habulo and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.
You retain ownership of the content you upload or create using the Service, including loyalty card designs, logos, and branding. You grant us a worldwide, royalty-free license to host, display, and distribute that content solely as needed to provide the Service to you and to issue passes to your customers' wallets.
7. Availability and Support
We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or events outside our control. Support is available by email at info@habulo.com; response times may vary by plan.
8. Limitation of Liability
To the maximum extent permitted by Greek and EU law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- We are not liable for indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Service.
- Our aggregate liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or gross negligence).
9. Indemnification
You agree to indemnify and hold Habulo harmless from any claims, damages, losses, and reasonable legal costs arising out of your use of the Service, your loyalty programs, your content, your violation of these Terms, or your violation of any third-party rights, including the privacy rights of your end customers.
10. Termination
You may cancel your subscription and close your account at any time from the dashboard. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your account if you materially breach these Terms, fail to pay subscription fees, or engage in conduct that is harmful to the Service or to other users. We will give you reasonable notice where practicable.
On termination, your access to the Service ends and your data is handled as described in the Privacy Policy (typically deleted within 90 days).
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Hellenic Republic (Greece), without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Athens, Greece, without prejudice to any mandatory consumer rights you may have in your country of residence.
12. Changes to These Terms
We may modify these Terms from time to time. We will give notice of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept them, you may cancel your subscription before they take effect.
13. End Customers Using Loyalty Cards
If you are not a business but a customer who registered for a digital loyalty card on a business's registration page, these Terms also apply to your use of the Service, with the following clarifications:
- You must be at least 16 years old to register for a loyalty card on your own.
- The business that owns the loyalty program is responsible for the offer, the rewards, and any in-store redemption. Habulo provides the technical platform that issues the card, tracks stamps, and (if you opt in) sends notifications.
- Stamps and rewards are issued at the discretion of the business. Habulo does not guarantee the redemption, value, or availability of any reward.
- You agree to use the Service in good faith, not to attempt to obtain stamps or rewards fraudulently, share your card or QR code with others to inflate stamps, or interfere with the Service.
- You can request removal of your loyalty card at any time by contacting the business that issued it, or by emailing info@habulo.com. Removal deletes your data as described in the Privacy Policy.
- The notification opt-in you set at registration covers both transactional messages (stamps added, reward unlocked) and promotional messages from the business. You can change this at any time from your wallet pass settings.
- Your rights as a consumer under Greek and EU law are not affected by these Terms.
